Purchaser's Conditions of Sale
and Terms of Guarantee
- Property sold by Greystock is often antique. The condition, rarity, quality and history of previous ownership of the Property (collectively, "Provenance"), its merchantability, fitness for a particular purpose, the correctness of descriptions of the physical condition, size, importance , medium, exhibitions, literature or historical relevance and other factors (together, "Attributes"), affect the suitability and value of the Property to its purchaser.
- Greystock will use its best efforts to present the Attributes of the Property accurately in its Presentations, However, Greystock relies upon Seller and/or third experts and appraisers to provide descriptions of the Attributes of the Property. Greystock and Seller make no representations and warranties, express or implied, as to whether the purchaser acquires any copyrights, including but not limited to, any reproduction rights in any property. Greystock and Seller are not responsible for errors and omissions in the Presentations or any supplemental materials, The authenticity of the authorship in Greystock's Presentations is guaranteed only as stated above.
- Except for the aforesaid Limited Warranty, Property is sold "AS IS" without any representations or warranties by Greystock or the Seller as to any of its Attributes and no statement anywhere whether oral or written, whether made in the Presentations, advertisements, bills of sale, postings or announcements, or elsewhere, shall be deemed such a warranty, representation or assumption of liability.
- Prospective purchasers are encouraged to inspect the property before purchasing it to determine its condition, size, whether or not it has been repaired or restored and the other Attributes.
- Greystock reserves the right to withdraw any Property before its sale and shall have no liability whatsoever for such withdrawal.
- Unless otherwise agreed by Greystock and Seller, the Property is sold as specified in the Presentations and offering materials.
- The purchaser will be the first person offering the highest amount greater than or equal to the asking price for the Properties (or lot thereof) within the time limits specified by Greystock for such offers. Greystock and Seller are not bound by inaccuracies in the asking price in the Presentations or otherwise. In the event of doubt on the part of Greystock as to the validity of any offer, Greystock will have the final discretion to determine the successful offer, cancel the sale, or to reoffer and resell the article in dispute. If any dispute arises after the sale, the sales record of Greystock is conclusive. Greystock is not responsible for any errors or omissions in connection with selecting the purchaser of any property and reserves the right to reject any offer.
- Subject to fulfillment of all of the conditions set forth herein, upon written notice by Greystock to purchaser of acceptance of purchaser's offer and receipt by Greystock of purchaser's payment therefor, title to the Properties (or lot thereof) will pass to the purchaser, who thereupon assumes full risk and responsibility therefor. In addition to other remedies available to Greystock by law, it reserves the right to impose from the date of sale a late charge of 1 1/2% per month of the total purchase price if payment is not made in accordance with the conditions set forth herein.
- Purchaser must remove all Property from Greystock's or Seller's premises at purchaser's expense not later than 10 business days following its sale and, if it is not so removed, (a) a handling charge of 1% of the total purchase price per month from the tenth day after the sale until its removal will be payable to Greystock by the purchaser, with a minimum of 5% of the total purchase price for any property not so removed within 60 days after the sale, and (b) Greystock or Seller may send the purchased property to a public warehouse for the account and at the risk and expense of the purchaser.
- If any conditions herein are not complied with by the purchaser, the purchaser will be in default. Greystock reserves all remedies available to it by law, including without limitation the right to hold the purchaser liable for the total purchase price, including all fees, charges and expenses of every nature. Additionally, Greystock, at its option, may (a) cancel the sale of any lot or lots sold to the defaulting purchaser, or (b) resell the purchased property, whether at public auction or by private sale, or (c) effect any combination thereof.
- Unless exempted by law, the purchaser will be required to pay the combined Ohio State and local tax, any application applicable, any federal luxury or other tax, on the total purchase price.
- These Conditions of Sale and Terms of Guarantee, as well as the purchaser's and Greystock's respective rights and obligations hereunder, shall be governed by and construed and enforced with the laws of the State of Ohio. By offering to buy the property, whether in person or by agent, telephone, or other means, the purchaser shall be deemed to have consented to the exclusive jurisdiction of the state courts of, and the federal courts sitting in, the State of Ohio.
- Greystock is not responsible for the acts or omissions in the packing or shipping of lots by carriers or packers if purchased lots, whether or not recommended by Greystock. Packing and handling of purchased lots is at the entire risk of the purchaser.
- In no event will Greystock's liability to a purchaser exceed the purchase price actually paid.
